As an energy focused company, UER believes that a good corporate governance policy is key not only to attaining a leading role in the industry but also to fostering and maintaining fruitful and progressive corporate relationships with customers, business partners, contractors, government and host communities as well as the trust and confidence of its stakeholders.

In exercise of its mandate, the Board has approved the Company’s Corporate Governance Code and Code of Ethics to ensure the highest standards of transparency, accountability and corporate governance, without inhibiting enterprise, diligence and innovation. Integrity is also fundamental to the Company. By acting with integrity, we impact positively on our partners and stakeholders all over the world.

The Board also recognises corruption as a major threat to business and to national development. Thus, at UER, we fully comply with all relevant anti-corruption legislation both local and international in all our business transactions, and we insist that those with whom we do business and those to whom we contract our business must do the same, guided by our Code of Ethics. Specifically, we abide by the provisions of the Economic and Financial Crimes Commission (EFCC) Act, 2004, Independent Corrupt Practices and other Related Offences Act, 2000, the UK’s Bribery Act 2010, as well as the Foreign Corrupt Practices Act, 1977 (as amended).

In addition, we have in place a whistle-blowing policy for the reporting of any illegal or financially unethical behaviour.
